1.Definitions & Acceptance

For the purposes of these Terms & Conditions, National Audio Systems Pty Ltd is also referred to as NAS and/or NAS Solutions. All sales made against this price list and/or catalogue and/or website assume full acceptance of these terms and conditions without reservation, which can be found at https://nas.solutions/terms-and-conditions

NAS are the holders of ABN registration number 50 085 679 894.

2.Governing Law

All Goods supplied by NAS are subject to the laws of Victoria and the parties submit to the non-exclusive jurisdiction of the Courts of Victoria and any court hearing appeals from those courts.

3.Trading Accounts & Credit Terms

Authorised credit accounts are strictly 30 days from End of Month. Account holders not obliging to our credit terms may have all future credit facilities withdrawn without any further notice and may also face legal proceedings for the collection of overdue accounts.

NAS reserves the right to charge interest monthly on all overdue trading accounts at applicable interest rates.

4.Debt Recovery & Collection Costs

If the Customer fails to make payment of any amount due to NAS by the due date, NAS reserves the right to take all necessary steps to recover the outstanding debt.

The Customer agrees that it will be liable for, and indemnifies NAS against, all costs and expenses incurred by NAS in recovering any overdue amounts, including but not limited to:

• debt collection agency fees, including commission-based fees;
• legal costs on a solicitor-client basis;
• court filing fees and enforcement costs; and
• administrative costs associated with the recovery process.

These costs will be payable by the Customer on demand and may be added to the outstanding debt.

NAS may, at its discretion, refer the outstanding debt to a debt collection agency or legal representative without further notice to the Customer.

5.Deposits & Available On Request Orders

NAS reserves the right to request either; a non-refundable deposit, partial or full pre-payment on orders placed for goods listed as Available On Request (AOR)

6.NAS Codes & Clearance Items

The "NAS Code" system is not infallible. In some cases a product may ideally be subject to several NAS Codes whereas only one code change can be shown. The NAS Code system is to be used as a guide only and NAS takes no responsibility for situations where the code does not properly or fully reflect any changes. Items marked "C" for Clearance Sale are only available whilst stocks last and no further discounts are available on these items.

7.Indent Orders & Freight

Some items in this pricelist are available on indent order only or are normally imported by sea freight. Please always confirm with us as extended delivery times of 8-10 weeks could be involved in some cases. An express freight service (usually air in lieu of ocean) may be available at a cost to the account holder. Please ask for a quotation.

8.Loan / Demonstration Goods

If any product is on loan/demonstration to a customer for any reason, the customer is responsible for the full return freight and insurance costs during the loan period. The customer is also fully liable for all such products whilst in their possession and to ensure that the goods are returned in good order and condition complete with all original packaging, accessories and any other items supplied with the new goods. We reserve the right to charge up to the full cost of the item in question for any breach of this condition

9.Returns & Credits

Any credit claims must be accompanied by a Return Authorisation (RA) number provided by NAS. All product returned for credit must be in original condition and packaging. In all cases a restocking fee of up to 25% may apply, NAS reserves the right to charge this fee at our discretion. Credits are only via a credited amount to the customers NAS trading account, cash credits are not processed. No credits will be authorised after one (1) month of the original invoice date.

10.RF Interference

No guarantees are made against any RF interference. All purchases are at the buyers risk.

11.Installation & Safety

All responsibility for the safety and correct installation of any items sold by National Audio Systems Pty Ltd is with the purchaser/installer. National Audio Systems Pty Ltd, NAS Solutions Ltd and any affiliates, its Directors, Shareholders and Staff will not be held liable for any items once installed whatsoever. For any items hung or installed overhead we recommend the services of an authorised/licensed installer or rigger and any other appropriately authorised individuals.

12.Intellectual Property

All product names and trademarks are the property of their respective owners and are in no way affiliated with NAS.

13.Pricing & GST

All prices are correct at the time of printing and we will endeavour to hold to our printed price list. However we reserve the right to adjust our prices for reasons that are beyond our control such as exchange rate fluctuations. Purchasers will be charged GST on all applicable items. All dealer prices in this confidential price list are shown excluding GST. All retail pricing shown is including GST. All retail pricing is recommended only and at the discretion of the reselling dealer. NAS reserves the right to change any details contained herein without any further notice, including pricing.

14.Consumer Rights

None of these Terms & Conditions may be construed as affecting any rights you have which cannot be modified or excluded by agreement.

15.Title of Goods

All goods received on any invoice or loan docket become the responsibility of the purchaser or borrower, however they remain the property of NAS (National Audio Systems Pty Ltd) until all monies and applicable dues are received in full. Title and/or ownership may not pass until that time, we reserve the right to register all sales/items/invoices with the PPSR.

16.Limitation of Liability

To the maximum extent permitted by law, NAS’s total liability for any claim relating to the supply of goods or services is limited to, at NAS’s discretion:

• replacement of the goods;
• supply of equivalent goods;
• repair of the goods;
• payment of the cost of replacing or repairing the goods; or
• the value of the goods supplied.

NAS is not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, RF interference, or loss arising from delays in supply.

17.Force Majeure

NAS is not liable for any delay or failure to perform its obligations where such delay or failure is due to events beyond its reasonable control.

These events may include, but are not limited to:

• supplier delays or shortages;
• shipping or freight disruptions;
• port congestion;
• natural disasters;
• pandemics;
• industrial disputes;
• government actions or restrictions;
• other circumstances outside NAS’s reasonable control.

During such events, NAS may suspend or delay supply and allocate available stock at its discretion.

18.Website Accuracy & Online Sales

• Online orders are subject to acceptance by NAS.
• Website content, including pricing, stock availability, product specifications, and descriptions, is provided for general information only.
• Website information may contain errors, omissions, or delays in updating.
• Customers must not rely solely on website information and should confirm details with NAS where required.
• NAS reserves the right to correct errors, update information, cancel orders, or amend orders arising from incorrect website information.

19.General

• If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in force.
• NAS may update these Terms at any time without notice.
• The latest version of these Terms will be available on the NAS website.
